Zidra Assist operates as a facilitation platform connecting independent virtual assistant professionals ("Talent") with clients ("Clients") seeking remote administrative and operational support. Zidra Assist is not an employer, staffing agency, or placement agency to either party.
Talents engaged through Zidra Assist operate as independent contractors, not employees of Zidra Assist or of the Client. Each engagement is governed by a separate Independent Contractor Agreement between the Talent and Zidra Assist.
Client engagements are governed by a separate Service Level Agreement (SLA) covering billing, confidentiality, liability limitation, replacement policy, non-circumvention, and dispute resolution.
Clients are billed according to the retainer or estimated-hours structure confirmed during onboarding. Payment terms, cycles, and invoicing details are specified in the applicable SLA.
Clients and Talents matched through Zidra Assist agree not to bypass the platform to engage directly outside of the agreed engagement terms, as further detailed in the applicable SLA or Independent Contractor Agreement.
If a Talent placement is not the right fit, Zidra Assist will mediate and coordinate a replacement to ensure continuity of service, as outlined in the applicable SLA.
Zidra Assist's role is limited to facilitation, matching, and ongoing support. Full liability terms are defined in the applicable SLA or Independent Contractor Agreement.
These Terms are governed by the laws of the Republic of the Philippines.
